How we work

  1. Message us

Send your company name or RC number on WhatsApp or by email.

  2. We check your CAC position

We review your record and tell you what is due, what is overdue and what it will take to fix.

  3. We see it through

With your go-ahead, we prepare what is needed and follow the filing through to CAC confirmation.

Common questions

What is an annual return?

A yearly filing with the Corporate Affairs Commission that confirms your current details, such as directors, shareholders and registered address. It is not a tax, and it is separate from your tax returns.

When is my annual return due?

Companies file within 42 days after each AGM (CAMA s. 421), and the first AGM is due within 18 months of incorporation (s. 237). Business names file by 30 June each year after the year of registration (s. 822). Incorporated trustees file between 30 June and 31 December each year after the year of incorporation (s. 848). The checker above works out your dates.

What happens if I miss it?

The company and its officers can face penalties (CAMA s. 425), and CAC may hold back post-incorporation services, such as changes to directors or shares, until your returns are up to date. Long-term default can lead to removal from the register.

Does a single-member company need an AGM?

No. CAMA s. 237 exempts small companies and companies with a single shareholder from holding an AGM. What it must file each year still needs checking, so ask us.

Can late returns be brought up to date?

Yes. Outstanding returns can be filed together with the penalties due. We can review everything that is outstanding and clear it in one go.

How do I check my company's status?

CAC's public search on cac.gov.ng shows your registered details. Or send us your RC number and we will check it for you.
